Our client, a regulatory body is looking for a Head of Corporate Secretary. This senior position reports directly to the Corporate Secretary and General Counsel. The primary responsibility of this role is to support and act as a deputy to the Corporate Secretary in ensuring the smooth and confidential operation of the Corporation’s Board and Board Committee meetings, as well as promoting effective corporate governance.

 

Job Responsibilities:

  • Oversee and manage the complete process of Board and Board Committee meetings, ensuring timely distribution of high-quality papers, accurate minute-taking, and clear documentation of actions, which are proactively followed up. This also involves drafting or reviewing and approving documents before submission to the CEO for final approval.
  • Lead and supervise research teams in investigating best practices in corporate governance, providing recommendations to the Board and senior management for the application of relevant principles. This includes proposing amendments to policies and codes to align with those principles.
  • Manage and lead projects related to various governance areas, including:
    • Board skills assessments
    • Board succession planning and reappointments
    • Board education and orientation programs for new members
    • Board effectiveness evaluations and ad hoc projects as assigned
  • Oversee and ensure the accuracy of all correspondence to Board members and governmental authorities.
  • Effectively manage, develop, and mentor direct reports, including succession planning and fostering strong interdepartmental relationships to promote team collaboration.

 

Job Requirements

  • Bachelor’s degree in Law or Law & Business (Honours preferred).
  • At least 25 years of experience in law practice, with a minimum of 15 years specializing in corporate secretariat administration and governance.
  • Recognized thought leader in corporate governance and corporate secretarial matters.
  • Exceptional research, analytical, writing, and drafting skills in both Bahasa Melayu and English.
  • Strong attention to detail and a high degree of accuracy.
  • Excellent organizational and planning abilities.
  • Capacity to identify opportunities for continuous improvement and implement them effectively.
  • Superior interpersonal and communication skills (oral and written), capable of engaging stakeholders and management at all levels.
  • Highly proficient in written and spoken English.
  • A strong ethical compass with a commitment to confidentiality, tact, and diplomacy.
  • Proven leadership skills, with the ability to guide and motivate teams towards achieving common goals and fostering a positive working environment.
  • A collegial approach to team-building and the maintenance of a collaborative environment.
  • Ability to prioritize workloads effectively, manage pressure, work extended hours when necessary, and meet tight deadlines.
  • Self-motivated, reliable, and proactive with a digital mindset.
  • Proficient in Microsoft Office Suite and other relevant IT tools, with a willingness to continuously learn and adapt to new technologies.
